ROC Annual Filing for Companies and LLPs in Ahmedabad
Who it's for
This is for private limited companies, one person companies and LLPs in Ahmedabad that need their yearly filings with the Registrar of Companies (ROC) done on time. It might be a company with its first AGM coming up, an LLP where nobody has opened the MCA portal since registration, or a company whose consultant goes quiet the week the forms are due. It also covers companies and LLPs with missed years to clear before a bank or an investor asks to see them. Incorporation happens once. These filings come back every year, whether or not the business traded.
What's included
- A compliance calendar for your financial year: AGM, filing due dates, the auditor's term and director KYC, with a reminder from us before each date.
- AOC-4 filing of the financial statements once your statutory auditor signs them, with the auditor's report and the board's report attached.
- The annual return in MGT-7, or in the shorter MGT-7A for one person companies and small companies.
- ADT-1 within 15 days of the meeting that appoints or reappoints your auditor.
- Director KYC (DIR-3 KYC), now once every three years, plus an update soon after any change to a director's mobile number, email or address.
- DPT-3 by 30 June, covering deposits and the other money received that the rules do not count as deposits, and MSME-1 by 31 October and 30 April if any payment to a micro or small supplier ran past 45 days in the half-year.
- Event-based filings: director changes (DIR-12), a new registered office (INC-22), higher authorised capital (SH-7) and share allotments (PAS-3). The first three are due within 30 days of the change.
- For LLPs: Form 11 and Form 8 every year, Form 4 when a partner joins or leaves, and Form 3 when the LLP agreement changes.
- Backlog clearing: what is pending, the additional fee on each form, and the overdue filings made.

Typical timeline
With a 31 March year end, a company's AGM is due by 30 September, AOC-4 within 30 days of it and MGT-7 or MGT-7A within 60. A new company holds its first AGM within nine months of its first year end, and a one person company, which holds no AGM, files AOC-4 within 180 days of the year end. LLPs file Form 11 by 30 May and Form 8 by 30 October. Once your auditor signs, the forms are usually ready for your digital signature within a few working days, including any certification the form needs from a practising chartered accountant, company secretary or cost accountant (some, such as MGT-7 for larger companies, need a company secretary), which we arrange. Most forms are approved automatically; the rest wait for an MCA officer to check them. Backlog work is quoted after we check the filing history.
Why Ahmedabad businesses work with us
Our office is in Parswanath Chambers on Ashram Road, and we collect signed accounts and papers from you by appointment. We work with businesses across Ahmedabad, and with businesses elsewhere in India when the work can be done online. The senior partner has more than 15 years of experience in accounting and tax, the other partner more than five. Every ROC filing happens on the MCA portal, so what counts is reaching someone before a due date. We also keep books and file GST, TDS and income tax returns, so the turnover in your AOC-4 can be checked against your GST and income tax returns before filing.
Frequently asked questions
Does a company with no business still have to file with the ROC?
Yes. The financial statements and the annual return are due every year, trading or not. A company that does no business for two years and stops filing can be struck off by the Registrar. If its filings are missed for three continuous financial years, its directors cannot be reappointed there or appointed to any other company for five years. A company kept for a future project or to hold an asset can apply for dormant status instead. One with no future can apply to be struck off, but it first has to file its overdue financial statements and annual returns up to the year it stopped business.
What is the difference between AOC-4 and MGT-7?
AOC-4 files the audited financial statements within 30 days of the AGM; a one person company has 180 days from the year end. MGT-7 is the annual return, covering shareholders, directors and meetings as at the year end, due within 60 days of the AGM. One person companies and small companies file the shorter MGT-7A. Since 1 December 2025 a small company is a private company with paid-up capital up to ₹10 crore and turnover up to ₹100 crore, other than holding, subsidiary, Section 8 and special-Act companies, so more companies now qualify.
Do directors still have to file DIR-3 KYC every year?
No. From 31 March 2026 the yearly KYC became a simpler one due once every three years, and for directors already up to date the next is due by 30 June 2028. The same form updates a director's mobile number, email or residential address, and the rules set a short deadline for filing it after the change. Only those updates need the director's digital signature and a professional's certification. It also reactivates a DIN that was deactivated for missed KYC, for a fee.
What are the government fees for ROC annual filing?
The MCA fee for each form depends on the company's authorised capital. With share capital, it runs from ₹200 per form below ₹1 lakh to ₹600 at ₹1 crore or more; a company without share capital pays ₹200. A late AOC-4, MGT-7 or MGT-7A adds ₹100 a day for each form, with no upper limit. LLP Form 8 and Form 11 fees depend on the partners' total contribution, and the late fee is a multiple of the normal fee that rises with the delay, lower for small LLPs.
We have not filed for the last few years. Can you bring the company up to date?
Yes. We check the company's filing history and status on the MCA portal, then list the pending forms year by year with the additional fee on each. If those years' accounts were never audited, your auditor has to finish that first, and we can prepare the books the audit needs. If a director is already disqualified or the company has been struck off, the fix goes beyond filing forms, and we will say so at the start.
